1. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("you," "User," or "Customer") and Cash Flow Optimizer ("we," "us," "our," or "Company") regarding your use of the Service. By clicking "I agree," creating an account, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and License Agreement, which are incorporated by reference.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
2. Definitions
- "Service" means the Cash Flow Optimizer web application, related APIs, mobile experiences, websites, and supporting services.
- "Account" means a registered user profile required to access the Service.
- "Customer Data" means any data, files, financial records, or content you submit to or generate through the Service.
- "Subscription" means a paid plan granting access to specific features for a defined billing period.
- "AI Output" means content, forecasts, or recommendations generated by AI components of the Service.
3. Eligibility & Accounts
To use the Service, you must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of forming a binding contract. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Maintain the security and confidentiality of your login credentials.
- Be responsible for all activities that occur under your account.
- Notify us immediately of any unauthorized access or security breach.
We reserve the right to refuse service, suspend accounts, or terminate access if we suspect false, fraudulent, or non-compliant activity.
4. The Service
Cash Flow Optimizer provides cash flow forecasting, financial analytics, CRM-linked revenue projections, business intelligence dashboards, and related tools designed to help businesses understand and improve their financial performance. The Service may evolve over time, and we may add, modify, or remove features at our discretion. We will use commercially reasonable efforts to provide advance notice of material changes that adversely affect functionality.
5. Subscriptions, Fees & Billing
Certain features of the Service require a paid Subscription. By subscribing, you agree to:
- Pay all fees in accordance with the pricing and billing cycle (monthly or annual) presented at checkout.
- Authorize us and our payment processors to charge your designated payment method on a recurring basis.
- Keep your billing information current; failed payments may result in suspension.
- Be responsible for all applicable taxes, duties, and fees, except for taxes based on our net income.
All fees are exclusive of taxes unless stated otherwise. We may change pricing with at least thirty (30) days' notice; changes take effect at the start of your next billing cycle.
6. Free Trials & Promotions
We may offer free trials or promotional plans. Eligibility, duration, and limitations are described at the time of the offer. Unless you cancel before the trial ends, you authorize us to charge the applicable subscription fee using your selected payment method. We may modify or terminate trials at our discretion.
7. Refunds & Cancellation
You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the then-current billing period, and you will retain access until that date. Except where required by applicable law, fees already paid are non-refundable. We do not provide pro-rated refunds for partial months or unused features.
8. Acceptable Use Policy
You agree not to, and not to permit any third party to:
- Use the Service for any unlawful, harmful, fraudulent, or deceptive purpose.
- Reverse engineer, decompile, disassemble, or attempt to derive source code or trade secrets.
- Copy, modify, or create derivative works based on the Service.
- Resell, sublicense, lease, or otherwise transfer access to the Service without our written permission.
- Interfere with or disrupt the Service, servers, or networks, or attempt to bypass security or rate limits.
- Upload or transmit viruses, malware, or any malicious code.
- Use automated tools, bots, or scrapers to extract data from the Service.
- Impersonate any person or entity, or misrepresent your affiliation.
- Use the Service to compete with us, including benchmarking for the development of a competing product.
- Violate the rights of any third party, including intellectual property, privacy, or contractual rights.
Violations may result in immediate suspension or termination and may be reported to law enforcement.
9. User Content & Data Ownership
You retain all rights to your Customer Data. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create backups of Customer Data solely as necessary to operate, maintain, secure, and improve the Service.
You represent and warrant that you have all necessary rights to submit Customer Data and that doing so does not violate any law or third-party right. You are solely responsible for the accuracy and legality of Customer Data and for maintaining your own backups of critical information.
10. Third-Party Integrations
The Service may integrate with third-party platforms such as QuickBooks, Google Sheets, banking aggregators, and CRMs. Your use of those services is governed by their own terms. We are not responsible for third-party services, their availability, or how they process your data. Disabling a third-party connection may limit certain features.
11. AI Features & Outputs
The Service includes AI-powered features that generate forecasts, summaries, recommendations, and other outputs. You acknowledge that:
- AI Outputs may contain errors, omissions, or inaccuracies and should be independently verified.
- AI Outputs do not constitute professional financial, accounting, tax, legal, or investment advice.
- You are solely responsible for any decisions or actions taken based on AI Outputs.
- Identical inputs may produce different outputs due to the probabilistic nature of AI systems.

12. Intellectual Property
The Service, including all software, content, designs, trademarks, logos, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted, expressly or by implication.
If you submit suggestions, ideas, or feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use Feedback for any purpose without obligation to you.
13. Privacy & Security
We process personal data as described in our Privacy Policy. We implement industry-standard administrative, technical, and physical safeguards to protect Customer Data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
14. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). The receiving party agrees to (a) protect Confidential Information with at least the same care it uses for its own confidential information (and no less than reasonable care), (b) use it only for the purposes of these Terms, and (c) not disclose it to third parties except to employees or contractors with a need to know who are bound by similar obligations.
15. Disclaimers
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, nor that AI Outputs or analytics will produce specific business results.
16. Limitation of Liability
Aggregate Cap: Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the foregoing limitations apply to the fullest extent permitted by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Cash Flow Optimizer and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service, (b) your Customer Data, (c) your violation of these Terms or any law, or (d) your infringement of any third-party right.
18. Suspension & Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk or possible legal exposure for us, or used the Service in a manner that could harm other users. You may terminate your account at any time by following the cancellation steps in your settings.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
19. Dispute Resolution & Arbitration
Informal resolution: Before filing any formal claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Binding arbitration: Except for claims for injunctive relief or intellectual property infringement, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered under the rules of a recognized arbitration body in the jurisdiction where we are headquartered. You and we waive any right to a jury trial or to participate in a class action.
If applicable law prohibits binding arbitration of a particular claim, that claim may be brought in a court of competent jurisdiction in our headquarters jurisdiction.
20. Governing Law
These Terms are governed by the laws of the state or jurisdiction in which Cash Flow Optimizer is headquartered, without regard to conflict-of-law principles. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction of the state and federal courts located in that jurisdiction.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting an updated version with a new "Last Updated" date and, where appropriate, by email or in-app notice. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
22. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and License Agreement, are the entire agreement between you and us regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce a right or provision is not a waiver of that right.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
